Terms of Service
1. Acceptance of Terms
By accessing or using TSM CRM ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Service. These Terms apply to all users, including individuals accessing the Service on behalf of a company or legal entity.
2. Description of Service
TSM CRM is a financial operating platform that provides multi-bank treasury management, financial reporting (P&L, cash flow, balance sheet), tax filing integrations, invoice and contract generation, and compliance tooling for businesses operating across multiple jurisdictions.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your organisation. The Service is intended for business use only and is not designed for personal, household, or consumer purposes.
4. Account Registration
Access to the Service is by invitation or approved registration request. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately at security@tsm-crm.com if you suspect unauthorised access.
5. Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service for money laundering, terrorist financing, or any activity that violates applicable financial crime laws.
- Attempt to circumvent sanctions screening or compliance controls.
- Access accounts or data of entities you are not authorised to manage.
- Attempt to reverse engineer, decompile, or extract source code from the Service.
- Use automated means to scrape, crawl, or extract data from the Service beyond normal API use.
- Resell or sublicense the Service without prior written consent.
6. Third-Party Integrations
The Service integrates with third-party banking, payment, and tax authority APIs (including Wise, Payoneer, Revolut Business, IRS, HMRC, VID, VMI, and others). By connecting these integrations, you authorise us to access and process data on your behalf within the scope you configure. We are not responsible for the availability, accuracy, or acts of third-party services. Their use is governed by their own terms and policies.
7. Financial Data & No Financial Advice
TSM CRM provides tools for organising and reporting financial data. Nothing in the Service constitutes financial, investment, legal, or tax advice. You are solely responsible for the accuracy of your data and for any decisions made based on reports generated by the Service. We recommend consulting qualified professionals for tax and compliance matters.
8. Subscription & Payment
Paid plans are billed monthly or annually in advance. Prices are shown in USD and exclude applicable taxes. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension of your account. Refunds are not provided for partial periods, except where required by applicable consumer protection law.
9. Data Ownership
You retain full ownership of all data you import into or generate using the Service. We process your data solely to provide the Service as described in our Privacy Policy. Upon account termination, you may request an export of your data within 30 days.
10. Intellectual Property
The Service, including its software, design, and content, is owned by TSM CRM Ltd and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription term. Nothing in these Terms transfers any intellectual property rights to you.
11. Availability & Uptime
We target 99.5% monthly uptime for the Service. Planned maintenance will be announced at least 24 hours in advance. We are not liable for downtime caused by third-party infrastructure, force majeure events, or actions outside our reasonable control.
12. Limitation of Liability
To the maximum extent permitted by law, TSM CRM Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the Service. Our total aggregate liability for any claim shall not exceed the amount you paid us in the 3 months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless TSM CRM Ltd and its officers, employees, and partners from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the Service, or your violation of any law or third-party rights.
14. Termination
You may cancel your account at any time from your account settings. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or if required by law. Upon termination, your right to use the Service ceases immediately.
15. Governing Law & Disputes
These Terms are governed by the laws of the Republic of Latvia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Riga, Latvia, unless mandatory consumer protection laws in your jurisdiction require otherwise. For EU residents, the European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.
16. Changes to Terms
We may update these Terms from time to time. We will notify account holders by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes your acceptance of the revised Terms.
